Clients acknowledge that all investment decisions remain their sole responsibility. We provide guidance; execution decisions rest with the client. Clients are encouraged to obtain independent legal, tax, and financial counsel as appropriate for their specific circumstances.
All consultancy services are governed by specific Engagement Letters executed with clients. These Terms supplement individual Engagement Letters. In case of conflict, Engagement Letters prevail.
The scope, duration, and deliverables of services are defined in each Engagement Letter. Changes to scope require written agreement.
Both parties maintain strict confidentiality regarding all information disclosed during the engagement. This obligation continues for five years following termination, except for trade secrets which remain confidential indefinitely.
To the fullest extent permitted by law, our total liability arising from services shall be limited to fees paid in the twelve months preceding any claim. We exclude liability for indirect, consequential, or punitive damages. We are responsible for our advice; clients remain responsible for their decisions.
Clients agree to indemnify Avron Global from claims arising from the client's use of services, breach of these Terms, or third-party claims related to the client's business activities.
Either party may terminate with thirty days' written notice. Immediate termination is permitted for uncured material breach. Upon termination, accrued fees are payable and confidential information is returned or destroyed.
These Terms and all engagements are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales.
